General

These terms and conditions (the “Terms”) apply between LOOP Tackle Design AB, corporate identity number 556225-0471 or such other applicable Loop affiliate (“LOOP,” “LOOP Tackle Design”, “we”, “our” or “us”), and you who make an order from us (“you”, “your”, or similar) via the website www.looptackle.com (the “Website” or “Site”). The terms apply only to you who are consumers and who carry out your order and thus buy a product from us via the Website.

By purchasing any product from LOOP Tackle Design AB, its affiliates or agents (“LOOP,” “we,” “our,” or “us”) through the Website, you (“you” or the “Customer”) agree to be bound by these Terms & Conditions (the “Terms”). Your continued access to or use of the Website and any purchase made through the Website constitutes your acceptance of these Terms as modified by LOOP from time to time. For international sales (meaning sales outside of Sweden), we have partnered with GLOBAL-E NL B.V (“Global-e”), a company incorporated in The Netherlands with registration number 72541466, a third-party service acting as the seller-of-record, or such other shipper or seller of record designated by or on behalf of LOOP. When purchasing via Global-e or any other designated vendor, your payment method will be charged by Global-e, and the purchase will be subject to Global-e’s and that vendor’s Terms & Conditions and Privacy Policy.

In addition to the Terms, LOOP’s applicable warranty terms, cookies and privacy policies also apply, found at looptackle.com. For international sales through Global-e, Global-e’s Terms & Conditions and Privacy Policy will apply in addition to LOOP’s Terms.

You must be 18 years or older, and not under guardianship, to place an order on the Website. If you are under the age of 18, or under guardianship, you may only place an order with the consent of your custodian(s).

Order and conclusion of contract

By making a purchase via the Website (“purchase” or “order”), you agree to accept the Terms.

Upon receipt of the order, we will send an order confirmation to you as soon as possible by email confirming the order.

All orders placed through the Website are subject to acceptance by LOOP at its sole discretion. LOOP reserves the right, in its sole and absolute discretion and without liability to you or any third party, to refuse, reject, limit, correct, or cancel any order (including an accepted order) for any reason, including but not limited to (i) inaccuracies or errors in product or pricing information, (ii) suspected fraud or abuse, (iii) export restrictions, (iv) inventory shortages, or (v) a force-majeure event.

Prices and payment

Prices displayed on the Website are quoted in the applicable currency unless otherwise indicated. Prices, promotions, and product availability are subject to change without notice at LOOP’s sole discretion. When ordering, prices quoted on the Website are stated at the time of the order, unless otherwise expressly agreed or if circumstances do not obviously cause otherwise. All prices include current Value Added Tax (“VAT”) for orders within the EU, Canada and the United States, where applicable. For orders outside the EU, Canada and United States, we do not collect sales tax, and you are responsible for remitting the appropriate amount of tax if so required. Prices do not include any payment and shipping charges, which are listed separately. The total price of the order will be displayed before you complete the order and in the order confirmation. For all international orders where sales tax is collected, Global-e, or such other designated vendor, will collect the applicable duties and taxes at checkout.

Payment is due at the time the order is placed. We accept the payment methods shown at checkout. By submitting an order, you (i) represent and warrant that you are authorized to use the designated payment method; (ii) authorize LOOP, or a third-party payment processor acting on our behalf, to charge your payment method for the total amount of your order (including any applicable taxes, shipping, handling, and other fees); and (iii) agree to be responsible for all charges incurred. Gift cards may be governed by additional or separate terms and conditions. If timely payment is not received, orders may be canceled or returned at any time. For unpaid orders, we have the right to charge a return fee for our handling cost of the order and for the return shipping to us, estimated to be $60 for Swedish orders and $65 for orders made outside Sweden.

Payment is made via the payment options and according to the separate payment terms listed on the Website. We reserve the right to reject payment methods for any reason.

Please note, for international sales, in addition to these Terms, all applicable third party vendor terms apply, including, but not limited to Global-e’s Terms & Conditions and Privacy Policy.

Loyalty points and rewards: Loyalty points can be earned from full retail price items and are valid for 12 months from the date they are earned or as otherwise revised or designated by LOOP. You must be logged in to earn loyalty points on orders. Loyalty points cannot be earned or redeemed on outlet store items.

Errors

We strive for the Website to contain the correct information as far as possible. However, we reserve that the site may contain typographical errors and incorrect prices and we are not bound by published prices or prices you realized or should have realized were incorrect. If an incorrect price has been specified for an ordered product, we will notify you and wait for any approval of the corrected price before the order is processed.

Delivery

Title and risk of loss or damage to the products pass to you upon LOOP’s or LOOP’s third party vendor’s delivery of the products to the carrier for shipment. Shipping costs will be added upon order unless otherwise stated in connection with your order. More information about which delivery options we offer can be found on the Website. Global-e or such other designated vendor manages international shipping. Please note that restrictions on certain delivery options may occur.

Unless otherwise agreed, delivery is scheduled to be made within 30 days from us confirming the order in writing by order confirmation. Please note that delivery times are approximate and deviations from these may occur. LOOP will not be liable for any delay in shipment or delivery that is caused in whole or in part by circumstances beyond LOOP’s reasonable control, including but not limited to force-majeure events.If your order is delayed, you should receive a message about this.

LOOP and its third party vendors strive to notify customers of the applicable delivery, method, status and delivery updates. Upon delivery, you are responsible for receiving or redeeming your order in a timely manner.

Product information

You release LOOP from any liability associated with the products, your use of the products, the final sale of products, and any errors on the Website, including, not limited to images, writings or descriptions, advertisements or other promotional material as well as product descriptions. We have the right to correct such errors, change or update information on the Website and to continuously make product changes and improvements on the Website.

Images on the Website that show products, advertisements and other promotional material should be considered for illustrative purposes only and not specification of the product’s features, features, origin or warranty. We are not responsible for information on the Website that comes from a third party.

All LOOP trademarks and the content on the Website is protected by copyright. Product names and logos may also be protected by copyright or trademark law. Product designs, text, graphics, logos, and images are the property of LOOP, its affiliates or its

licensors and protected by United States and international intellectual property laws. Trademark, company names, product names, images, texts, layouts, and information about products, services and other content may not be copied or used without the prior written consent from LOOP. No license or right to use any mark, logo, or other intellectual property right of LOOP or any third party is granted by these Terms. Any unauthorized use of LOOP’s intellectual property is strictly prohibited and may subject you to civil penalties and/or criminal prosecution.

Right of withdrawal

Purchases outside of the United States (U.S.):

For purchases outside of the US, where required by applicable law, you have a right to withdraw your order within 14 days without giving any reason, or during such other time period designated by LOOP. For purchases outside of the US and where required by applicable law, the withdrawal period will expire 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you. To meet the withdrawal deadline, you must send your communication concerning your exercise of the right of withdrawal before the 14-day withdrawal period has expired. You shall send back the goods or hand them over to us, without undue delay and in any event not later than 14 days from the day on which you communicate your notification of withdrawal. To exercise the right of withdrawal, where applicable, you must inform us of your decision to withdraw from this contract by an unequivocal notification and statement (“withdraw notification”, e.g. a letter sent by post, fax or e-mail). You may use this model withdrawal form, but it is not obligatory. You will find our contact details below. Note: Global-e or such other designated third party vendor designated by LOOP will be responsible for all international orders, which includes the responsibility to handle returns and withdrawals for those orders, and which may have their own withdraw or return policies. Additionally, the deadline is met if you send back the goods to the return address in the order or as otherwise designated on the LOOP Website before the 14-day period has expired.

Where applicable, in response to a timely withdraw notification, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the date of our receipt of your timely withdraw notification. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise. Except where otherwise provided by these Terms and unless otherwise charged by a third party bank or creditor,LOOP will not charge any fees as a result of such reimbursement. We reserve the right to withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

You will have to bear the direct cost of returning the goods. The cost is estimated at a maximum of approximately $50.

You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

User generated content

The Site may include discussion forums, blogs, profiles, product reviews or other interactive features or areas (collectively, “Interactive Areas”), in which you or other users can create, post, upload, transmit, distribute or store content, such as personally identifiable information (PII), comments, reviews, photos, videos, text, music, sound, graphics, code or other materials on the Sites (collectively, “User Content”). User Content may be publicly-viewable along with profile information associated with your online account, but it does not include payment information you submit in order to make a purchase. You agree that you are solely responsible for your User Content, including any PII, and for your use of such Interactive Areas, and that you use the Interactive Areas at your own risk. By sharing your information with LOOP and/or submitting an order, you agree to the cookies, user, customer and privacy terms reference or linked on the Website. By submitting or posting User Content on the Website, you grant Loop and our subsidiaries and affiliates a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Content on the Website and on third-party sites.

Complaints

When ordering through the Website, you are always entitled to file a complaint within three years of the date you received the product. If you wish to file a complaint in the product, contact us as soon as possible after the error has been discovered. In order for the complaint to be considered by LOOP, it must be made within a reasonable time after you notice or should have noticed the error, at LOOP’s discretion. For example, a complaint made within two months of the issue being detected is generally considered to be made within a reasonable period of time.

We recommend that you check the products when you receive them and that you report any damage to the packaging directly to the carrier or delivery point and record the damage to the freight handling. LOOP is not responsible for claims or damages caused by third party carriers and you should refer to the carrier damage policies.

Returns

You can return an incorrect product by returning it to us at the address listed on the Website if you notify Loop within 14 days of receipt and subject to LOOP’s return policies which may be modified from time to time. You are responsible for the condition of the returned product from receiving the product until we receive it. We therefore recommend that the product be shipped in original packaging and well packaged with traceable shipment. We do not redeem any products returned by postage or postpay.

Once we have received the product and found that the complaint is valid, we reserve the right to refund payment (including any return shipment costs) or replace the product in accordance with applicable law. Please note that we are entitled to refuse a complaint if it is found to be invalid and/or the product was delivered in accordance with applicable law and, in such case, we will not refund any expenses for return shipping.

Disclaimer

EXCEPT FOR THE EXPRESS LIMITED WARRANTIES IN THESE TERMS AND PROVIDED ON THE LOOP WEBSITE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOOP DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EXCEPT AS EXPRESSLY PROVIDED, THE WEBSITE, ITS CONTENT AND ALL PRODUCTS ARE PROVIDED “AS IS.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOOP, ITS AFFILIATES, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE PRODUCTS ORDERS PLACED WITH LOOP OR ITS THIRD PARTY VENDORS.

Other

Promotions; discounts. We may, from time to time, carry out promotions, discount codes and other offers for different products (“Offers”). For products covered by such Offers, the preferential price or the favorable terms apply for the limited period specified in connection with the Offer in question or as long as the stock is sufficient. Otherwise, these Terms apply. Offers cannot be combined with other discounts unless explicitly stated otherwise. Upon termination or revocation of the Offer, these Terms shall apply in full to the products previously included in the Offer.

We may change these Terms at any time, but the changes that you approved at the time of your purchase always apply to that purchase. All changes will be reflected in the

most recently published version of the Terms on the Website. Changes will come into effect from accepting the Terms, that is, when you make a new purchase.

If you reside in the European Union and have a complaint you may submit such through the EU’s web based platform for dispute resolution, which may be reached at https://ec.europa.eu/consumers/odr. All other requests or complaints may be made through the LOOP Website.

No third-party beneficiaries. These Terms are for the benefit of, and will be enforceable by, the parties only. These Terms are not intended to confer any right or benefit on any third party or to create any obligations or liability of a party to any such third party.

Governing Law. These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of Sweden or the applicable laws where the Customer is located, as determined by LOOP. You agree to waive the right to a jury trial and that, if selected by LOOP, any complaint, dispute, controversy, or claim (collectively, a “Dispute”) arising out of or relating to these Terms, the Website, or the products shall be resolved exclusively by final and binding arbitration. If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable for any reason, such provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect to the fullest extent permitted by law. No waiver by LOOP of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure or delay by LOOP to exercise a right or enforce a provision under these Terms shall not constitute a waiver of that right or provision.

Entire agreement. These Terms (including any policies, terms or documents incorporated herein by reference) constitute the entire agreement between you and LOOP concerning the purchase of products through the Website and supersede all prior or contemporaneous agreements, understandings, proposals, negotiations, and communications, whether oral or written, relating to the subject matter hereof.

Force majeure. LOOP shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by an event or circumstance beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, supply-chain disruptions, embargoes, or governmental actions (“Force Majeure Event”). In the event of a Force Majeure Event, LOOP’s performance shall be deemed suspended for the period that the Force Majeure Event continues, and LOOP shall have an extension of time for performance for the duration of that period.
